General information

Switzerland, strategically located in the heart of Europe, is internationally recognized as a premier financial center, valued for its economic stability, confidentiality, and robust regulatory environment. The country operates as a federal confederation, consisting of 26 cantons, each enjoying substantial political and fiscal autonomy.

The division of authority between the Swiss federal government and the cantons is established by the Swiss Federal Constitution, which clearly defines the areas of shared and independent jurisdiction. This decentralized structure enables cantons to implement individual tax regimes, often offering competitive corporate tax rates and tailored incentives for businesses.

Switzerland’s combination of tax efficiency, legal certainty, and a highly developed infrastructure makes it an attractive jurisdiction for international businesses, holding companies, and investment vehicles.

We assist in the incorporation of the two primary types of Swiss companies:

  • Société Anonyme (S.A.), equivalent to a public limited company, ideal for larger enterprises and public fundraising; and

  • Société à Responsabilité Limitée (Sàrl), or limited liability company, more commonly used for small to medium-sized businesses.

Company formation in Switzerland typically takes around 7 to 10 business days, depending on the canton and complexity of the structure, and includes regulatory filings, notarial procedures, and registration with the commercial registry.

EU-Based Entity Formation

Establishing a European corporate presence provides access to one of the world’s largest single markets and a broad network of suppliers and partners. Operating as an EU-registered company enhances credibility and offers the potential to engage in intra-EU trade under the reverse charge mechanism, allowing for VAT-neutral transactions between VAT-registered businesses.

Offshore company

Establishing an international company in a tax-efficient jurisdiction can support cost optimisation and improved capital allocation. When structured and managed correctly in accordance with applicable laws, such entities may benefit from favourable tax treatment. This can enable businesses to reinvest a greater portion of their earnings into growth and development.
